By accessing or using Miint ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
These terms apply to all users, including individual users and organisations.
2. Description of Service
Miint provides bookkeeping and financial management tools designed for UK sole traders and small businesses. The Service may include features for organising transactions, managing tax obligations, tracking digital assets, and accessing guidance — all subject to change as we develop the platform.
3. Account Registration
To use the Service, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorised access
- Be responsible for all activities under your account
4. Acceptable Use
You agree NOT to use the Service to:
- Violate any applicable laws or regulations
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the Service
- Scrape, crawl, or collect data without permission
- Impersonate others or provide false information
- Use the Service for money laundering or financial fraud
- Circumvent usage limits or access controls
5. Tax Guidance Disclaimer
IMPORTANT: Any guidance features within the Service draw on publicly available tax information but are NOT a substitute for professional tax advice.
- Guidance is based on publicly available tax information and may not reflect your specific circumstances
- The Service does NOT provide professional tax, legal, or accounting advice
- You should ALWAYS consult a qualified accountant or tax advisor for decisions affecting your tax obligations
- We are not liable for any decisions made based on the guidance provided
- Using the guidance features does NOT create a professional-client relationship
- Always verify information directly with HMRC or your accountant
By using the guidance features, you acknowledge and accept these limitations.
6. Digital Asset Features Disclaimer
Any digital asset tracking features within the Service are for informational purposes only:
- We do NOT provide investment advice or recommendations
- Tax calculations are estimates and should be verified by a professional
- Digital asset values are volatile; displayed prices may be delayed or inaccurate
- We are not responsible for trading decisions based on our data
- Consult an accountant for your specific tax situation
7. Data Accuracy
You are responsible for:
- The accuracy of data you upload to the Service
- Reviewing and verifying all calculations and reports
- Maintaining your own records for tax and legal compliance
- Ensuring your use complies with applicable accounting standards
While we strive for accuracy, we do not guarantee that calculations, classifications, or AI-generated content are error-free.
8. HMRC Making Tax Digital
IMPORTANT: By connecting your HMRC account through Miint, you authorise us to act on your behalf to interact with HMRC's Making Tax Digital (MTD) services. This includes:
- Retrieving your VAT obligations and liability information from HMRC
- Submitting VAT returns to HMRC on your behalf
- Transmitting fraud prevention headers to HMRC as required by law (including your IP address, device information, and browser details)
You are solely responsible for reviewing the accuracy of all VAT return figures before submission. Once a VAT return is submitted to HMRC through Miint, it cannot be reversed by us. You may disconnect your HMRC account at any time from within the app, which will revoke our access to your HMRC data.
By using the MTD features, you acknowledge that Miint is a software tool facilitating your VAT submissions — we are not your accountant, tax advisor, or agent for HMRC purposes.
9. Record-Keeping Responsibilities
IMPORTANT: HMRC requires sole traders and businesses to keep financial records for at least 5 years after the 31 January submission deadline of the relevant tax year (typically 6–7 years in practice).
- Miint is NOT a long-term records archive and does not retain your data for the statutory period required by HMRC
- You are solely responsible for maintaining your own financial records for the required retention period
- You should regularly export and back up your data to your own storage
- We are not liable for any penalties, fines, or consequences arising from your failure to retain records as required by HMRC or any other authority
- Deletion of your account or data from Miint does not relieve you of your legal obligation to keep records
By using the Service, you acknowledge that you are responsible for your own record-keeping obligations under UK law.
10. Intellectual Property
The Service, including its design, features, and content, is owned by Wisq Ltd. You retain ownership of data you upload but grant us a licence to process it to provide the Service.
You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may:
- Perform maintenance with or without notice
- Modify or discontinue features
- Suspend accounts that violate these terms
- Limit access during high-demand periods
12. Fees and Payment
Certain features may require a paid subscription. If applicable:
- Fees are as displayed at time of purchase
- Subscriptions renew automatically unless cancelled
- Refunds are provided in accordance with applicable consumer laws
- We may change pricing with 30 days notice
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "as is" without warranties of any kind
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to fees paid in the 12 months prior to the claim
- We are not liable for losses due to incorrect tax filings, missed deadlines, or decisions based on AI-generated content
- We are not liable for third-party service failures
Nothing in these terms excludes liability for death, personal injury, or fraud.
14. Indemnification
You agree to indemnify and hold harmless Wisq Ltd from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of third-party rights.
15. Termination
You may close your account at any time. We may suspend or terminate your account if:
- You violate these terms
- You engage in fraudulent or illegal activity
- Your account poses a security risk
- Required by law
Upon termination, you may request export of your data within 30 days.
16. Changes to Terms
We may update these terms from time to time. Material changes will be notified via email or platform notice at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
17. Governing Law
These terms are governed by the laws of England and Wales. Disputes will be resolved in the courts of England and Wales, except where consumer protection laws provide otherwise.
